Job Overview:
A highly respected law firm is actively seeking a Corporate Associate with 4–6 years of experience in public company compliance and capital markets transactions. This role offers the opportunity to work with a robust client base of public companies and high-growth enterprises, providing strategic legal counsel on SEC regulations, governance, and securities offerings. Ideal candidates will have transactional experience and a deep understanding of regulatory frameworks, with a preference for those who have worked with clients in the technology and life sciences industries.

Duties:

1. Advise public companies on SEC reporting and compliance obligations
2. Corporate governance and disclosure requirements
3. Nasdaq and NYSE listing rules
4. Represent issuers and/or underwriters in capital markets transactions including:
1. Initial Public Offerings (IPOs)
2. Equity and debt offerings
3. PIPEs (Private Investments in Public Entities)
4. At-the-market (ATM) offerings
5. Address day-to-day legal issues affecting public companies
6. Collaborate with clients in innovative industries such as technology and life sciences

Requirements:

1. 4–6 years of experience in public company representation and capital markets work
2. Proficiency in securities law, SEC filings, and stock exchange compliance
3. Ability to manage complex transactions with precision and efficiency
4. Experience working with high-growth or publicly listed companies is strongly preferred

Education:

Juris Doctor (J.D.) degree from an accredited law school

Certifications:

1. Active membership in at least one U.S. state bar
2. Must meet bar admission requirements in the jurisdiction of the assigned office

Skills:

1. Advanced knowledge of federal securities laws and public company governance
2. Excellent drafting, communication, and analytical skills
3. Strong organizational and multitasking abilities
4. Ability to collaborate with internal teams and external clients effectively
5. Business acumen and strategic thinking in advising corporate clients
